End User License Agreement

Effective date: 8 July 2026

This Agreement is a legal agreement between you and Cabrera Consulting Group ("Licensor") for the TXscribe software and associated files, models, and documentation ("Software"). By installing or using the Software, you agree to it.

1. License grant

On purchase, Licensor grants you a non-exclusive, non-transferable, perpetual license to install and use the Software for your own personal or internal business use. One license is intended for use by one person.

2. License key

Your purchase provides a license key that activates the Software. Keep it confidential. Licensor may deactivate keys that are shared publicly, resold, or used in violation of this Agreement.

3. Restrictions

You may not resell, rent, sublicense, or redistribute the Software or your key; reverse-engineer or decompile it except where the law permits; remove proprietary notices; or use the Software to break any law or to transcribe recordings you don't have the right to process.

4. Ownership

The Software is licensed, not sold. Licensor retains all rights, excluding the third-party components below and your own content.

5. Third-party components

The Software includes open-source components licensed separately, including whisper.cpp (MIT), the Whisper model weights (MIT), FFmpeg (LGPL v3), and NVIDIA CUDA runtime libraries (NVIDIA CUDA EULA). Nothing here limits your rights under those licenses.

6. Your content

You retain all rights to the audio you transcribe and the transcripts you produce. The Software processes them locally on your device; Licensor never receives them.

7. Updates

Licensor may provide updates at its discretion. Free updates, if offered, apply within the version you purchased and may not include future major versions.

8. Refunds

TXscribe is a digital product delivered electronically. All sales are final and refunds are not offered, except where required by applicable law.

9. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. Licensor does not warrant that transcriptions will be accurate or error-free. You are responsible for reviewing output before relying on it.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Licensor will not be liable for any indirect, incidental, special, or consequential damages, or loss of data or profits. Licensor's total liability will not exceed the amount you paid for the license.

11. Termination

This license terminates automatically if you breach it. On termination you must stop using and delete the Software.

12. Governing law

This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict of law rules.
